THESE TERMS AND CONDITIONS OF USE (T&C’S) REPRESENT A LEGALLY BINDING AGREEMENT BETWEEN USER AND ANNUM TOKEN (AS DEFINED BELOW). THESE TERMS OF USE WILL BE EFFECTIVE UPON YOUR ACCEPTANCE OF THE SAME (DIRECTLY OR INDIRECTLY, IN ELECTRONIC FORM, OR BY MEANS OF AN ELECTRONIC RECORD). THEY WILL GOVERN THE RELATIONSHIP BETWEEN USER AND ANNUM TOKEN FOR THE PURCHASE OF ANNUM TOKEN PRODUCTS AND THE USE OF ANNUM TOKEN SERVICES, THE USE OF ANNUM TOKEN APPLICATIONS ON MOBILE DEVICES, AND/OR USE OF OUR WEBSITE IN CONNECTION WITH ANY OF THE FOREGOING (COLLECTIVELY, "SERVICES")

IN THE EVENT THAT YOU DO LOSE SOME OR ALL OF THE PURCHASE VALUE OF YOUR ANNUM TOKENS, YOU ACCEPT THAT ALL OF YOUR RIGHTS ARE GOVERENED EXCLUSIVLY BY THESE TERMS AND CONDITIONS AND YOU WAIVE ANY RIGHTS YOU MAY HAVE IN FAVOUR OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, WHETHER YOU HAVE READ THEM OR NOT.

These Terms and Conditions are applicable to the website located at the URL https://annum366.com/terms-and-conditions/ (hereinafter referred as “Website”) as between ANNUM Crypto (hereinafter referred to as " ANNUM Crypto " or "We" or "Us" or "Our") and the guest users or registered users of the Website (hereinafter referred to as "You" or "Your" or "Yourself" or "User") and describe all of the terms on which ANNUM Crypto offers You access to the Website and the Services.

If you are accessing the ANNUM Crypto website or accessing the Services through the ANNUM Crypto mobile application, then while these Terms and Conditions will apply to such use, there may be additional terms (such as the terms imposed by mobile application stores like Apple's iTunes, the Google Play store, the Huawei store and Microsoft's store, from time to time) which will govern the use of the mobile application. These additional terms, to the extent applicable, are hereby deemed to be incorporated in these Terms and Conditions by way of reference.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ANNUM TOKEN SERVICES AND ANY PRODUCT, SERVICE OR OTHER ITEM PROVIDED BY OR ON BEHALF OF ANNUM TOKEN ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND ANNUM TOKEN EXPRESSLY DISCLAIMS, AND YOU WAIVE, ANY AND ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT OR WARRANTIES ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE IN TRADE. WITHOUT LIMITING THE FOREGOING, ANNUM TOKEN DOES NOT REPRESENT OR WARRANT THAT THE SITE, ANNUM TOKEN SERVICES AND ANY AND ALLL ANNUM TOKEN MATERIALS ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANNUM TOKEN DOES NOT GUARANTEE THAT ANY ORDER FOR A PURCHASE OR REDEMPTION OF ANNUM. TOKENS WILL BE EXECUTED, ACCEPTED OR RECORDED. EXCEPT FOR THE EXPRESS STATEMENTS, AGREEMENTS AND RULES SET FORTH IN THESE TERMS AND CONDITIONS OF USE, YOU HEREBY ACKNOWLEDGE AND AGREE THAT YOU HAVE NOT RELIED UPON ANY OTHER STATEMENT OR AGREEMENT, WHETHER WRITTEN OR ORAL, WITH RESPECT TO YOUR USE AND ACCESS OF ANNUM TOKEN’S PRODUCTS OR SERVICES. WITHOUT LIMITING THE FOREGOING, YOU HEREBY ACCEPT, ACKNOWLEGE, UNDERSTAND AND AGREE THAT ANNUM TOKEN WILL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING OUT OF OR RELATING TO: (A) ANY INACCURACY, DEFECT OR OMISSION IN ANY CODE WRITTEN AND USED BY ANNUM TOKEN, (B) ANY ERROR OR DELAY IN THE TRANSMISSION OF ANY TRANSACTION TO PURCHASE OR REDEEM ANNUM TOKEN TOKENS OR USDT PAYMENTS, (C) INTERRUPTION IN ANY TRANSACTION OR SERVIDE, (D) REGULAR OR UNSCHEDULED MAINTENANCE CARRIED OUT BY ANNUM TOKEN, OR ANY ANNUM TOKEN SERVICE PROVIDER AND ANY SERVICE INTERRUPTION AND CHANGE RESULTING FROM SUCH UPDATES, PATCHES AND/OR MAINTENANCE, (E) ANY DAMAGES INCURRED BY OTHER USER’S ACTIONS, OMISSIONS OR VIOLATION OF THESE TERMS, (F) ANY DAMAGE CAUSED BY ILLEGAL ACTIONS OF OTHER THIRD PARTIES OR ACTIONS NOT AUTHORIZED BY ANNUM TOKEN; AND (G) OTHER EXEMPTIONS MENTIONED IN DISCLAIMERS AND PLATFORM RULES ISSUED BY ANNUM TOKEN.

THE DISCLAIMER OF IMPLIED WARRANTIES CONTAINED HEREIN APPLY IRRESPECTIVE OF ANY APPLICABLE LAW OF THE JURISDICTION IN WHICH YOU RESIDE AND THE SOLE AND EXCLUSIVE JURISDICTION FOR ANY DISPUTES OR CLAIMS ARISING FROM THESE TERMS AND CONDITIONS SHALL BE THE REPULBLIC OF SEYCHELLES.

Indemnification

You agree to indemnify and hold harmless ANNUM Crypto, their affiliates, contractors, licensors, and their respective directors, officers, employees, suppliers and agents from and against any claims, actions, proceedings, investigations, demands, suits, costs, expenses and damages (including attorneys’ fees, fines or penalties imposed by any regulatory authority) arising out of or related to (i) your use of, or conduct in connection with ANNUM Crypto’s Services, (ii) your breach or our enforcement of these Terms, or (iii) your violation of any applicable law, regulation, or rights of any third party during your use of ANNUM Crypto’s Services. If you are obligated to indemnify ANNUM Crypto, their affiliates, contractors, licensors, and their respective directors, officers, employees, suppliers or agents pursuant to these Terms, ANNUM Crypto will have the right, in its sole discretion, to control any action or proceeding and to determine whether ANNUM Crypto wishes to settle, and if so, on what terms.

In no event will we be liable, nor do we assume responsibility for any direct, indirect, special, incidental or consequential damages (including, without limitation, any lost profits, business interruption, loss of information or programs or other data on your information systems) arising out of or in connection with the use or inability to use the Website or the content or services provided on, or accessible from the Website, or otherwise, even if we are advised of the possibility of such damages.

You further agree to hold harmless of any liability, all of ANNUM Crypto's subsidiary companies, affiliates, employees, officers, directors, suppliers, contractors, agents and successors from any and all liabilities, claims, and expenses, including reasonable attorneys' fees which are brought by a third party, that arise from or relate to your use, misuse of or access to ANNUM Crypto (www.annum366.com).

General

Any new features or tools which are added to any ANNUM Crypto participating Website shall also be subject to these Terms and Conditions. These Terms and Conditions are subject to revision by ANNUM Crypto at any time. Users are requested to carefully read these Terms and Conditions from time to time before using the Website. The revised Terms and Conditions shall be made available on the Website. You are requested to regularly visit the Website to view the most current Terms and Conditions. In the event such a facility is provided on the Website, you can determine when ANNUM Crypto last modified any part of the Agreement by referring to the "Last Updated" section provided in that document. It shall be Your responsibility to check these Terms and Conditions periodically for changes. ANNUM Crypto may require You to provide Your direct or indirect consent to any update in a specified manner before further use of the website and the Services. If no such separate consent is sought, your continued use of the Website and/or Services, following such changes, will constitute Your acceptance of those changes.

If there is any conflict:

between the Terms and Conditions and any other Agreement, the terms and Conditions shall take precedence, but only to the extent of the conflict;

between the additional service terms and any other part of these Terms and Conditions, the additional service terms shall take precedence in relation to that Service;
between these Terms and Conditions and any other notices, disclaimers or guidelines appearing on the Website, these Terms and Conditions shall take precedence but only to the extent of the conflict.

The ANNUM Crypto Service

Through its subsidiaries and associated entities, ANNUM Crypto develops, technology products and services and supports the sales and marketing thereof. Our team have more than 100 years of combined expertise in the financing, creation and business development of a range of products and services, with an emphasis on technology products and services. We have built up our reputations over a long period of time and are committed to offering our products and services in a way that creates value for our customers. Our management team has worked for and with some of the largest banks, telecoms operators, retailers and financial services organisations in the world.

ANNUM Crypto has facilitated the development of the ANNUM Token, which is a digital Token based on the Ethereum blockchain. The ANNUM Token has a number of rights and obligations attached to it, all of which are controlled by the smart contract which manages the purchase, ownership and transfer of each ANNUM Token. See ANNUM Token functionality below for the full capabilities of the ANNUM Token. The ANNUM Token is built and runs on the Ethereum blockchain.

Ethereum is a decentralised, open-source blockchain, with smart contract functionality. Ether (ETH) is the native Token of the platform. Many other cryptocurrencies utilize the ERC- 20 Token standard on top of the Ethereum blockchain and have utilized the platform for initial coin offerings. On 15 September 2022, Ethereum transitioned its consensus mechanism from proof-of-work to proof-of-stake which will make it far more energy efficient.

ANNUM Token Functionality

The functionality of the ANNUM Token is as set out in the FAQ’s provided by ANNUM Crypto with regard to such functionality. We do not warrant that the ANNUM Token has any additional use, capability, utility, functionality or intrinsic value over and above what is set out in the FAQ’s and these Terms and Conditions, and by clicking on these Terms and Conditions and/or purchasing an ANNUM Token(s), you accept such warranty and relinquish any right that you may or may not have, now, or at any future point, with regard to the expected or actual use, capability, functionality or intrinsic value of the ANNUM Token(s). The ANNUM Token is not a security and does not offer any rights or obligations other than those set out herein. ANNUM Tokens do not pay interest. After 366 days your ANNUM Token is redeemed and expired in the ANNUM system. Your only entitlement is to receive $1,25 for your ANNUM Token, paid exclusively in USDT.

Anti Money Laundering and Know Your Customer

ANNUM Crypto does not accept cash, credit cards, debit cards, EFTs or any other fiat currency payment. The only form of payment that we accept is USDT, the Ethereum network stablecoin. To find out how to buy USDT, please click on the following link: https://www.coinbase.com/how-to-buy/tether We do not accept any form of payment other than USDT because we do not have the infrastructure to undertake comprehensive AML (Anti-money Laundering) and KYC (Know Your Customer) investigations into each purchaser of ANNUM Tokens. We rely on established crypto currency exchanges such as Coinbase or Binance to vet clients prior to opening accounts for them, on their exchanges. In order to reduce the risk of money laundering we limit the purchase of ANNUM Tokens to a maximum of 100, per account.

Use of proceeds

By purchasing an ANNUM Token, you give us the right to use the proceeds of such purchase at our total discretion and specifically to trade with the proceeds of such purchase in order to generate the returns offered on this Website. Trading with the proceeds shall include trading in selected financial instruments, including derivatives, products and currencies, that we in our sole discretion decide. In addition, you give us the right to transfer the proceeds from the purchase of ANNUM Tokens between our various trading platforms at our sole and exclusive discretion.

We undertake that we will not use the proceeds from the purchase of ANNUM Token(s) to acquire any highly illiquid assets including equity securities.

Liquidation proceedings

In the event of a liquidation, your ANNUM Tokens will remain your asset and will not be considered an asset of the Company for the purpose of liquidation proceedings.

Anticipated return

We anticipate that each ANNUM Token will realise a return of not less than 25% over a period of not less than 366 days. 25% after not less than 366 days is the maximum return that you are entitled to and under these Terms and Conditions, you forfeit the right to claim a return of more than 25% on each ANNUM Token purchased.

Due to the inherently risky nature of trading in financial and crypto products and services, we do not in any way warrant or guarantee that we will achieve the minimum anticipated return of 25% per ANNUM Token, and you waive any right to sue, or participate in any legal actions, individually or collectively, or make any claim whatsoever against ANNUM Crypto, Rendez-Vous Management Limited, and/or the owners, managers, employees, suppliers and agents of ANNUM Crypto and/or Rendez-Vous Management Limited, if the future return is less than anticipated, or less than 25% AFTER 366 DAYS.

Legal Entities

The legal entity that owns the ANNUM Token brand, Website and intellectual property is Rendez-Vous Management Limited, a company registered in the Republic of Seychelles. For the purposes of any litigation, legal matters, or disputes, you hereby subject yourself to the laws of the Republic of Seychelles.

Crypto wallets and accounts

In order to purchase ANNUM Tokens, you will be required to link your USDT account to the ANNUM Crypto public key address provided by us. This public key address can be accessed via a cryptographic wallet such as MetaMask. MetaMask is a browser enabled tool that links various crypto wallets to the Ethereum block chain. Smart contracts

All crypto tokens that are managed on a blockchain have smart contract capabilities. Smart contracts are the embedded rules that control how ownership, rights and value is transferred between different tokens. Smart contract rules cannot be edited or changed once they have been implemented. They are by design, “immutable.” The rules applicable to a smart contract are also available for users to see. This is what makes blockchain the most transparent code system in user today. We manage the deployment and all transfers into and out of ANNUM Tokens via smart contracts, which are available for users to see. Users will be able to when and how redemptions of ANNUM Tokens will take place.

Payment using USDT

All purchases of ANNUM Tokens must be made using USDT (Tether Stablecoins), in increments of US$1,000 each. When your ANNUM Token is due for redemption, after 366 days, the crypto wallet account that was used to purchase the ANNUM Token(s) will be credited with USD$1,250.00 in USDT. It is your responsibility to either retain or convert your USDT to any other crypto currency or fiat currency that you choose. From the time that you have been credited with the USDT, you are responsible for your USDT. ANNUM Crypto will not be responsible in any way whatsoever for fluctuations in any crypto or fiat currency from the time that your account has been credited with the applicable USDT, after 366 days. No payments will be made in any way, form or currency, fiat or other, besides in USDT, and other than to the designated crypto account that was used to purchase ANNUM Token(s).

Eligibility to Use

By using the Website and Services, you affirm that you are at least 18 years of age or older. You further affirm that any and all information you provide on the ANNUM Crypto Website (www.annum366.com) or Application is true and accurate, and by providing such information you do not infringe upon the rights of any person or corporate entity, nor violate any local, state, or government laws. As a minor you may not transact on any ANNUM Crypto Website or used any ANNUM Crypto mobile application. ANNUM Crypto reserves the right to terminate your account or refuse to provide you with access to the Website and any ANNUM Crypto Services if it is brought to ANNUM Crypto's attention or if it is discovered that you are under the age of 18 years.

This Website is for your personal use, and not for commercial use or for the benefit of any third party. ANNUM Crypto reserves the right to refuse service in its sole discretion and without notice should you breach any of the Terms and Conditions set out herein, and you hereby waive any recourse that you may have against ANNUM Crypto if such rights are exercised. ANNUM Crypto will not provide any reasons, nor enter into any correspondences should your right to use the Website or access the Services be terminated. Your Account means the publicly accessible cryptographic key address from which you send USDT and to which ANNUM Crypto will transfer the USDT due to you after 366 days.
